About these Terms

These Terms and Conditions explain how Archidata works with its clients. They are intended to set out our respective responsibilities clearly and fairly, reducing misunderstandings and helping projects run smoothly.

We believe that transparency benefits everyone, which is why these Terms describe not only the legal framework but also the technical assumptions behind the specialist surveying services we provide.

1. DEFINITIONS
________________________________________
For the purposes of these Terms and Conditions, the following definitions apply.
Term Meaning
Archidata Archidata Limited.
Client The individual, company, organisation or other legal entity instructing Archidata.
Contract The agreement formed between Archidata and the Client incorporating the Quotation, Proposal and these Terms.
Deliverables Any drawings, reports, CAD files, BIM models, point clouds, schedules, photographs, calculations or other information supplied by Archidata.
Drawing Any PDF, DWG, DXF, IFC, Revit, Archicad or similar digital or printed drawing produced by Archidata.
Point Cloud Three-dimensional laser scan data captured during the survey.
BIM Model Any Revit, Archicad, IFC or similar Building Information Model.
Proposal Archidata’s written description of the services offered.
Quotation Archidata’s fee proposal.
Site The property or land to which the Services relate.
Services The professional services described within the Proposal or Quotation.
Working Day Monday to Friday excluding public holidays in England.

2. FORMATION OF CONTRACT

2.1
These Terms and Conditions form the basis of every agreement between Archidata Limited (“Archidata”) and the Client unless expressly varied in writing by a Director of Archidata.
2.2
The Contract shall come into effect upon the earliest of:
• written acceptance of a quotation;
• acceptance through Archidata’s online quotation system;
• issue of a purchase order;
• written instruction by email;
• verbal instruction;
• Archidata commencing the Services at the Client’s request.
2.3
The Client confirms that any individual instructing Archidata has authority to bind the Client contractually.
2.4
Where any conflict exists between documents, the following order of precedence shall apply:

Any Client Terms and Conditions are expressly rejected unless accepted in writing by a Director of Archidata.
2.5
No amendment to the Contract shall be effective unless confirmed in writing by Archidata.

3. SCOPE OF SERVICES
________________________________________
3.1
Archidata shall exercise the reasonable skill, care and diligence expected of a suitably qualified professional surveying practice experienced in providing similar services.
3.2
Only those Services expressly described within the Proposal or Quotation are included.
Unless specifically identified, the following are excluded:
• structural engineering
• legal boundary determination
• Party Wall matters
• asbestos surveys
• ecological surveys
• drainage investigations
• utility tracing
• invasive investigations
• planning advice
• valuation advice
• design services
• specification writing
• contract administration
unless expressly included within the Proposal.
3.3
Archidata reserves the right to determine the survey methodology, equipment and personnel necessary to undertake the Services.
3.4
Should additional information become necessary after commencement of the Services, Archidata shall notify the Client before undertaking additional work wherever reasonably practicable.
3.5
Estimated programme dates are provided for guidance only and shall not constitute contractual completion dates unless expressly agreed.

4. CLIENT OBLIGATIONS

4.1 General Duty of Co-operation
The Client shall co-operate fully with Archidata throughout the duration of the Contract and shall provide all information, access and assistance reasonably required to enable the Services to be undertaken safely, efficiently and without unnecessary delay.
Failure to do so may result in additional charges and revised delivery dates.
________________________________________
4.2 Accuracy of Information
The Client warrants that all information, drawings, surveys, reports, title plans, utility records, photographs and other documentation supplied to Archidata are accurate and complete to the best of the Client’s knowledge.
Archidata shall be entitled to rely upon such information and accepts no responsibility for inaccuracies arising from incorrect or incomplete information supplied by others.

4.3 Access to Site
Unless expressly agreed otherwise, the Client shall provide Archidata with unrestricted access to all parts of the Site necessary to complete the Services.
This includes, where applicable:
• buildings
• roofs
• loft spaces
• basements
• plant rooms
• service risers
• external areas
• boundary features
• neighbouring land where access has been agreed.
The Client shall ensure that all necessary keys, security codes and access permissions are available on the agreed survey date.
Should Archidata be unable to gain access to any area, that area may be omitted from the survey and identified accordingly within the Deliverables.

4.4 Third Party Permissions
Where access across neighbouring land or into adjoining properties is required, it shall be the Client’s responsibility to obtain all necessary permissions before the survey commences.
Archidata will not trespass onto third-party property under any circumstances.
Any return visit resulting from failure to obtain permissions shall be chargeable.

4.5 Safe Working Environment
The Client shall ensure that the Site is safe for Archidata’s employees, subcontractors and equipment.
This includes, but is not limited to:
• structural stability
• safe floors
• safe roofs
• safe ladders
• safe access routes
• adequate lighting
• suitable ventilation
• compliance with all applicable Health & Safety legislation.
Archidata reserves the right to refuse to enter any area considered unsafe.

4.6 Hazardous Materials
The Client shall notify Archidata before the survey of any known or suspected:
• asbestos
• lead
• hazardous chemicals
• contaminated land
• toxic mould
• radioactive materials
• unexploded ordnance
• confined spaces
• biological hazards
• aggressive animals
or any other matter likely to present a risk to personnel or equipment.
Archidata shall not be liable for delays or additional costs arising from undisclosed hazards.

4.7 Vegetation and Obstructions
The Client shall ensure that all areas requiring survey are reasonably accessible.
Where excessive vegetation, stored materials, furniture, machinery, debris or other obstructions prevent accurate measurement, Archidata may:
a) omit those areas from the survey;
b) identify them as “Unable to Survey”;
c) return following clearance at additional cost; or
d) undertake limited vegetation clearance where safe and appropriate.
Archidata shall determine the appropriate course of action acting reasonably.

4.8 Utilities
Unless specifically instructed otherwise, locating underground utilities does not form part of Archidata’s Services.
Where utility surveys have been commissioned, the Client shall provide all available statutory records and utility information before site attendance.
Archidata shall not be responsible for damage resulting from inaccurate or incomplete statutory records supplied by third parties.

4.9 Site Representative
The Client shall nominate a suitably authorised representative who shall be available during the survey to:
• provide access
• answer reasonable questions
• confirm survey extents
• identify any restricted areas
• authorise minor decisions where necessary.
Where no representative is available, Archidata shall proceed based upon its reasonable professional judgement.

4.10 Working Hours
Unless otherwise agreed, surveys will normally be undertaken during standard working hours.
Where surveys are requested outside normal working hours, additional charges may apply.

4.11 Parking and Site Charges
Unless included within the Quotation, the Client shall be responsible for any reasonable costs incurred in providing the Services including:
• parking charges
• congestion charges
• Clean Air Zone charges
• Ultra Low Emission Zone charges
• ferry charges
• tolls
• site permits
• escort fees
• booking fees
and any other unavoidable costs associated with accessing the Site.
An administrative charge of 20% will be applied in addition.

4.12 Delays Caused by the Client
Where Archidata’s performance is delayed, interrupted or prevented by any act or omission of the Client, including failure to provide access or information, Archidata shall be entitled to:
a) revise the programme for completion;
b) recover all additional costs reasonably incurred;
c) charge for abortive visits;
d) recover additional travel costs;
e) recover additional accommodation costs where applicable;
f) suspend the Services until the matter has been resolved.

4.13 Abortive Visits
Where a survey cannot proceed due to circumstances beyond Archidata’s control, including but not limited to:
• no access
• incorrect keys
• unavailable tenant
• unsafe conditions
• excessive obstruction
• adverse weather
• security restrictions
• undisclosed hazards
Archidata reserves the right to charge for time, travel and all associated costs incurred.

4.14 Client Decisions
Where the Client requests Archidata to proceed despite known limitations or incomplete access, the Client accepts that the Deliverables will reflect only those areas that could reasonably be surveyed.
Archidata shall have no liability arising from omissions resulting directly from such restrictions.

5. SURVEY ASSUMPTIONS & LIMITATIONS

5.1 General
All Services provided by Archidata are based upon observations and measurements made on the date(s) of the survey only.
The Deliverables represent the condition of the Site at the time the survey was undertaken and should not be relied upon as representing the Site at any later date.

5.2 Existing Buildings
Existing buildings are rarely perfectly level, square, vertical or symmetrical.
Minor irregularities, movement, settlement, distortion, construction tolerances and historic alterations are common and should be expected.
No representation is made that walls are perfectly straight, floors are level or corners are exactly ninety degrees unless expressly stated.

5.3 Hidden Construction
Unless specifically instructed otherwise, Archidata shall not investigate or report upon concealed construction including:
• foundations
• wall construction
• wall plates & wall ties
• hidden steelwork
• hidden timber members
• concealed drainage
• underground chambers
• concealed structural defects
• insulation
• vapour barriers
• fire stopping
• cavity construction
• hidden services
No assumptions should be made regarding concealed elements.

5.4 Condition Surveys
Unless expressly commissioned, Archidata does not undertake condition surveys.
Accordingly, no opinion is given regarding:
• structural integrity
• defects
• decay
• dampness
• timber infestation
• movement
• corrosion
• contamination
• asbestos
• suitability for occupation
or any other assessment of condition.

5.5 Inaccessible Areas
Only areas that can be accessed safely and reasonably at the time of the survey shall be measured.
Areas may be omitted (or shown indicatively) where access is prevented by:
• locked doors
• security restrictions
• tenant refusal
• excessive stored materials
• vegetation
• standing water
• unsafe structures
• confined spaces
• unsafe roofs
• insufficient headroom
• adverse weather
Such areas shall be identified where reasonably practicable.

5.6 Roofs
Unless expressly stated within the Proposal, roofs are normally surveyed from ground level or by remote measurement.
Archidata does not normally walk upon roofs.
Roof coverings, flashings, gutters, chimneys and other roof elements are not inspected for condition.

5.7 Loft Spaces
Loft spaces shall only be entered where:
• safe access exists;
• adequate lighting is available;
• suitable flooring is present; and
• in the opinion of the Surveyor it is safe to do so.
Archidata reserves the right not to enter any loft considered unsafe.
________________________________________
5.8 Basements and Underground Areas
Basements, cellars, tunnels, service ducts, crawl spaces and similar confined areas shall only be surveyed where safe access exists.
No entry shall be made into confined spaces requiring specialist procedures unless expressly included within the Proposal.

5.9 Vegetation
Trees, hedges, shrubs, ivy and other vegetation may obscure features.
Archidata shall not be responsible for features hidden by vegetation.
Limited vegetation clearance may be undertaken where considered safe and appropriate.
Significant clearance remains the Client’s responsibility.
________________________________________
5.10 Furniture and Stored Materials
Measurements shall be taken around furniture, machinery and stored materials wherever reasonably possible.
Archidata shall not dismantle furniture, remove stored items or move heavy equipment.
Areas concealed by such items may be omitted or interpolated using professional judgement.

5.11 Underground Services
Unless expressly commissioned, Archidata does not identify underground services.
No responsibility is accepted for:
• water mains
• gas pipes
• electricity cables
• telecommunications
• fibre optic cables
• drainage
• culverts
• fuel tanks
• private services
• abandoned services
Where utility information is shown, it shall be regarded as indicative only unless produced as part of a dedicated PAS128 Utility Survey.

5.12 Boundaries
Measured surveys record the physical features observed on the date of survey.
Archidata does not determine:
• legal ownership;
• title boundaries;
• easements;
• rights of way;
• restrictive covenants;
• adverse possession;
or any other legal property matter unless specifically instructed to do so.
The position of fences, walls and hedges should not be interpreted as representing the legal boundary.

5.13 Trees
Unless specifically instructed otherwise:
• tree species are not generally identified unless agreed in advance and if so, they may be best guess.
• no arboricultural inspection is undertaken;
• no assessment is made regarding tree health or structural stability;
• root protection areas are not calculated.

5.14 Levels and Coordinates
Where surveys are related to the Ordnance Survey National Grid or Ordnance Datum, coordinates are based upon observations made using equipment and methodologies appropriate to the commission.
Small differences may occur when compared with observations undertaken by others using different equipment, methodologies or control.

5.15 Laser Scanning
Laser scanning records visible surfaces only.
Objects hidden behind:
• walls;
• furniture;
• vegetation;
• vehicles;
• stored materials;
• people;
or other obstructions cannot be captured.
The existence of a point cloud should not be interpreted as meaning every element of a building has been measured.

5.16 Building Information Models (BIM)
Where BIM models are supplied:
• models are interpretative representations generated from survey observations;
• they are not fabrication models;
• they should not be relied upon for manufacturing purposes;
• Levels of Detail (LOD) and Levels of Information Need shall be those stated within the Proposal only.
No greater accuracy shall be implied.

5.17 CAD Drawings
CAD drawings are intended to be used electronically.
Printed drawings may be subject to printer distortion or scaling.
Dimensions shall always take precedence over scaled measurements.
The Client shall not scale from drawings and assume accuracy of these dimensions extracted by themselves.

5.18 Monitoring Surveys
Monitoring surveys identify movement between observation dates only.
Archidata makes no representation regarding:
• future movement;
• structural adequacy;
• causes of movement;
• remedial measures.
Interpretation remains the responsibility of the appointed engineer unless specifically included within the Services.

5.19 Building Height Surveys
Building height assessments are prepared using recognised surveying techniques together with professional interpretation of the applicable legislation and guidance current at the date of issue.
Changes in legislation, Government guidance, Approved Documents or judicial interpretation after the date of issue may alter the conclusions.

5.20 Weather
Adverse weather may reduce visibility, GNSS reception, laser scan quality or safe access.
Archidata reserves the right to suspend or postpone surveys where weather conditions would compromise safety or survey quality.

5.21 Survey Accuracy
Unless otherwise agreed in writing, all surveys shall be undertaken to the accuracy reasonably expected of a competent professional surveying practice using appropriately calibrated equipment.
No survey shall be regarded as mathematically perfect nor can it be millimetre accurate.
Professional judgement shall always form part of the surveying process.

5.22 Reliance Upon Deliverables
The Deliverables shall be used only for the purpose described within the Proposal.
Archidata accepts no responsibility where the Deliverables are used:
• for a different purpose;
• after significant alteration of the Site;
• following demolition;
• following structural movement;
• after flood, fire or other damage;
• after substantial refurbishment;
without first obtaining written confirmation from Archidata that continued reliance remains appropriate.

5.23 Duty to Verify
Before commencing design, construction or fabrication, the Client and all contractors shall satisfy themselves that the Deliverables remain suitable for their intended purpose.
Critical dimensions affecting manufacture, structural steelwork, prefabrication or specialist installations should be independently verified on Site prior to fabrication or installation.

6. DELIVERABLES
________________________________________
6.1 General
Archidata shall provide the Deliverables described within the Proposal or Quotation.
Unless expressly stated otherwise, Deliverables may include one or more of the following:
• PDF drawings
• DWG drawings
• DXF drawings
• Revit® models
• Archicad® models
• IFC models
• 3D point clouds
• Topographical survey data
• Monitoring reports
• Building height assessment reports
• Utility survey drawings
• Photographs
• 360° imagery
• Matterport® models
• Survey schedules
• Written reports
Only those Deliverables specifically identified within the Proposal are included within the agreed fee.

6.2 Electronic Formats
Electronic files shall normally be supplied in the formats stated within the Proposal.
Where no format is specified, Archidata shall determine the most appropriate format.
Archidata accepts no responsibility if the Client is unable to open or use files because suitable software is unavailable.

6.3 Drawing Scale
Drawing scales are correct only when printed at the intended sheet size.
Electronic viewing software may display drawings at differing scales.
Dimensions shall always take precedence over measurements obtained by scaling from drawings.

6.4 Draft Information
Where Deliverables are marked (either in the containing email or on the drawings themselves) :
Draft
Preliminary
For Information
For Comment
or similar wording, they shall not be relied upon for construction, manufacture or statutory submission.
Only documents specifically identified as Final Issue shall be regarded as complete.

6.5 Revisions
Unless otherwise agreed within the Proposal, the fee includes one issue of the Deliverables.
Revisions requested by the Client following issue, including alterations arising from changes in scope, shall be chargeable.
Corrections arising solely from Archidata’s own drafting or survey errors shall be undertaken without charge.

6.6 Survey Data
Archidata shall retain the original survey observations, point clouds and related digital information for a reasonable period following completion of the Services.
Whilst every effort will be made to retain such information, Archidata cannot guarantee indefinite storage.
Should archived data be required at a later date, Archidata reserves the right to make a reasonable administration or retrieval charge.

6.7 Point Clouds
Where point clouds are supplied:
• they represent the visible surfaces observed during the survey;
• they are not guaranteed to contain every feature;
• they remain subject to the limitations described within Section 5.
Clients shall ensure that any third-party software used to interrogate point clouds is suitable for that purpose.

6.8 BIM Models
Where BIM models are supplied:
• they are produced solely for the purposes stated within the Proposal;
• they shall not be regarded as fabrication models;
• no warranty is given regarding interoperability with third-party software;
• no responsibility is accepted for modifications undertaken by others.
Any subsequent amendments carried out by parties other than Archidata shall invalidate responsibility for that model.

6.9 CAD Files
CAD files are supplied to assist the Client in progressing the project.
The Client accepts that:
• CAD drawings may contain layers not intended for printing;
• construction details are not implied unless specifically shown;
• deleted information may remain within the electronic file;
• blocks, external references, fonts or custom line styles may vary between software versions.
Archidata accepts no responsibility for changes made to CAD files by others.

6.10 Issue Status
Each drawing or model shall include an issue reference identifying its status.
The Client shall ensure that only the latest revision is used.
Archidata accepts no liability arising from the use of superseded drawings.

6.11 Electronic Transmission
Although reasonable precautions are taken, Archidata cannot guarantee that electronic files will be free from corruption during transmission.
The Client should notify Archidata immediately if any transmitted file appears incomplete or corrupted.

6.12 Editable Files
Unless specifically stated otherwise within the Proposal:
• PDF files shall constitute the primary contractual Deliverable.
• Editable CAD files, BIM models and other native digital files are supplied as an additional courtesy licence and not as the primary contractual record.
Archidata reserves the right to decline requests for editable files where this has not formed part of the agreed commission.

6.13 Release of Deliverables
Archidata reserves the right to issue preliminary or protected versions of Deliverables pending settlement of outstanding invoices.
Where applicable, editable digital files, including DWG, DXF, Revit, Archicad, IFC and point cloud data, shall normally be released only after all outstanding invoices relating to the commission have been paid in full.
This provision does not affect the Client’s obligation to make payment in accordance with Section 8.

6.14 Printed Copies
Where printed drawings or reports are requested after completion of the commission, Archidata reserves the right to make reasonable charges for printing, binding, packaging and postage.

6.15 Third-Party Information
Deliverables may include information supplied by third parties, including but not limited to:
• Ordnance Survey
• Utility companies
• Local Authorities
• Historic mapping providers
• Other consultants
Such information remains the responsibility of its original source.
Archidata accepts no liability for inaccuracies contained within third-party information.

6.16 Future Reliance
The Deliverables represent a snapshot of the Site at the date of survey.
Where substantial time has elapsed, or alterations have occurred, Archidata recommends that the Site be re-inspected before relying upon previously issued Deliverables.

6.17 Additional Copies
The Client may request additional copies of Deliverables at any time.
Archidata reserves the right to make reasonable charges for administration, retrieval, reproduction or conversion into alternative formats.

6.18 Record Drawings
Unless expressly stated within the Proposal, Deliverables record existing conditions only.
They shall not be interpreted as:
• construction drawings;
• fabrication drawings;
• setting out drawings;
• as-built drawings prepared by contractors;
• structural drawings; or
• design drawings.
________________________________________
6.19 Acceptance of Deliverables
The Client shall inspect the Deliverables upon receipt and notify Archidata in writing of any apparent discrepancy or omission within a reasonable period.
Failure to notify Archidata shall not prejudice any statutory rights but may delay the rectification of any genuine errors.

7. INTELLECTUAL PROPERTY & LICENCE
________________________________________
7.1 Ownership
Unless expressly agreed otherwise in writing, all Intellectual Property Rights in the Services and Deliverables shall remain vested in Archidata Limited.
This includes, but is not limited to:
• survey observations;
• field notes;
• sketches;
• calculations;
• photographs;
• point clouds;
• CAD drawings;
• BIM models;
• reports;
• databases;
• schedules;
• specifications;
• digital terrain models;
• GIS data; and
• any other material created during the commission.
Payment of Archidata’s fees does not transfer ownership of any Intellectual Property Rights.

7.2 Client Licence
Subject to payment of all outstanding invoices, Archidata grants the Client a non-exclusive, non-transferable, royalty-free licence to use the Deliverables solely for the purposes described within the Proposal.
This licence permits the Client to:
• view the Deliverables;
• reproduce copies for the Project;
• distribute copies to the Project Team;
• submit drawings to statutory authorities;
• use the Deliverables during construction;
• retain the Deliverables for future management and maintenance of the Property.

7.3 Project Specific Licence
The licence granted under Clause 7.2 relates solely to the Project identified within the Proposal.
The Deliverables shall not be used for:
• another property;
• another development;
• another phase of development unless expressly included;
• marketing unrelated developments;
• resale;
• commercial exploitation;
without Archidata’s prior written consent.

7.4 Third Party Use
No third party shall acquire any right to rely upon the Deliverables solely because they have been provided with copies by the Client.
Any reliance by third parties shall be entirely at their own risk unless Archidata has expressly agreed in writing to extend a duty of care to that party.

7.5 Alteration of Deliverables
Archidata accepts no responsibility for any Deliverable that has been:
• altered;
• amended;
• redrawn;
• converted;
• manipulated;
• edited;
• modelled;
• simplified;
• translated into another format;
by any person other than Archidata.
Where modifications are made by others, the modified document shall cease to represent Archidata’s work.

7.6 Electronic Files
Electronic Deliverables may contain:
• external references;
• linked files;
• custom fonts;
• object data;
• metadata;
• embedded information.
Archidata accepts no responsibility for any changes occurring following export, conversion or manipulation by third-party software.

7.7 Point Cloud Data
Point cloud data remains the intellectual property of Archidata.
Unless otherwise agreed, the Client is granted a licence to use the point cloud solely for the Project.
Point cloud data shall not be:

7.8 BIM Models
BIM models are supplied for coordination and design purposes only.
No licence is granted permitting:
• fabrication;
• automated manufacture;
• digital construction;
• robotic setting out;
unless specifically stated within the Proposal.

7.9 Survey Data
Raw survey observations remain the property of Archidata.
Archidata is under no obligation to release:
• instrument files;
• field observations;
• GNSS observations;
• traverse calculations;
• registration files;
• adjustment reports;
• internal quality assurance documentation;
unless expressly agreed within the Proposal.

7.10 Copyright Notice
All Deliverables remain protected by UK copyright law and international copyright conventions.
The removal or alteration of copyright notices appearing upon Deliverables is prohibited.
________________________________________
7.11 Publication
The Client shall not publish Deliverables on publicly accessible websites or digital platforms in editable form without Archidata’s prior written consent.
Where Deliverables are published electronically, they should wherever reasonably practicable be provided in a non-editable format.
________________________________________
7.12 Artificial Intelligence
The Client shall not knowingly use, upload, distribute or permit the Deliverables to be used for the training, testing or development of artificial intelligence, machine learning or automated design systems without Archidata’s prior written consent.
This restriction does not prevent normal use of AI tools in the course of designing or managing the Project where the Deliverables are used solely as project information and not as training data.

7.13 Marketing
Unless expressly instructed otherwise in writing, Archidata reserves the right to refer to the completed commission within its marketing material.
This may include:
• project name;
• general location;
• description of the Services;
• non-confidential photographs;
• rendered images of Deliverables.
No commercially sensitive or confidential information shall be disclosed without the Client’s written permission.

7.14 Moral Rights
Archidata asserts its moral right to be identified as the author of its Deliverables wherever reasonably appropriate.
________________________________________
7.15 Suspension of Licence
Where any invoice remains unpaid beyond its due date, Archidata may suspend the licence granted under these Terms by giving written notice to the Client.
The licence shall automatically revive upon settlement of all outstanding sums.
________________________________________
7.16 Future Alterations
Where the Client intends to alter, extend or redevelop the Property in the future, Archidata recommends that the Deliverables be reviewed before further reliance is placed upon them.
Archidata accepts no responsibility for changes to the Property occurring after the date of survey.
________________________________________
7.17 Assignment
The licence granted to the Client is personal to the Client and may not be assigned, transferred or sublicensed without Archidata’s prior written consent, except where reasonably required for the purposes of the Project.
________________________________________
7.18 Reservation of Rights
Except for the licence expressly granted under this Section, all Intellectual Property Rights remain reserved by Archidata.
No implied licence shall arise.
________________________________________

7.19 Assignment of Deliverables and Survey Data
The licence granted under these Terms and Conditions is personal to the Client and relates solely to the Project identified within the Proposal or Quotation.
The Client shall not assign, transfer, novate, sell, licence, sublicence or otherwise dispose of:
• the benefit of this Contract;
• any Deliverables;
• any survey data;
• any point cloud data;
• any BIM models;
• any CAD drawings;
• any reports; or
• any other information or intellectual property produced by Archidata,
to any third party without the prior written consent of Archidata.
Such consent shall not be unreasonably withheld where the proposed assignment relates solely to the Project for which the Services were commissioned.
Where consent is granted, Archidata reserves the right to require the proposed assignee to enter into a Licence Agreement, Deed of Reliance, Collateral Warranty or other agreement upon such terms as Archidata reasonably considers appropriate.
No assignment or transfer shall increase or extend Archidata’s obligations or liability beyond those owed to the original Client under these Terms and Conditions.

7.20 Sale or Transfer of the Property
The sale, lease, transfer or other disposal of the Property shall not automatically transfer to the new owner, occupier, tenant or any successor in title:
• the benefit of this Contract;
• the licence granted under these Terms and Conditions; or
• any right to rely upon the Deliverables.
Any purchaser, tenant, funder, investor, mortgagee, successor in title or other third party wishing to rely upon the Deliverables must first obtain Archidata’s prior written consent or enter into such Licence Agreement, Deed of Reliance or Collateral Warranty as Archidata may reasonably require.
Unless expressly agreed in writing, Archidata accepts no duty of care to any person other than the original Client.

7.21 Third-Party Reliance
The Deliverables have been prepared solely for the benefit of the Client for the purposes identified within the Proposal or Quotation.
No third party shall acquire any right to rely upon the Deliverables solely because they have been provided with copies by the Client or by any other person.
Any unauthorised reliance by a third party shall be entirely at that party’s own risk.
Where Archidata agrees to extend reliance to a third party, such reliance shall be subject to a separate written agreement and may be conditional upon payment of an additional fee.

7.22 Reservation of Rights
Except for the limited licence expressly granted under these Terms and Conditions, all Intellectual Property Rights and all other rights in the Deliverables shall remain vested in Archidata.
No implied licence or right of use shall arise by implication, estoppel or otherwise.
________________________________________
7.21 No Data Mining or Commercial Exploitation
The Client shall not, without the prior written consent of Archidata:
• extract, aggregate or compile survey data for use on unrelated projects;
• create libraries, databases or digital twins using Archidata’s Deliverables other than for the Project;
• sell, licence or commercially exploit the Deliverables or any part of them;
• use the Deliverables as training data for artificial intelligence, machine learning or similar technologies, except where such use forms part of the normal design, coordination or management of the Project.
Nothing in this clause shall prevent the Client or its professional advisers from using the Deliverables in the ordinary course of designing, constructing, operating or maintaining the Project for which they were prepared.

8. FEES & PAYMENT

8.1 Fees
The fees payable for the Services shall be those stated within the Proposal or Quotation.
Unless expressly stated otherwise, all fees are exclusive of:
• Value Added Tax (VAT);
• statutory fees;
• third-party charges;
• agreed disbursements.
VAT shall be charged at the prevailing rate.

8.2 Fixed Fee Commissions
Where a fixed fee has been agreed, that fee relates only to the Services expressly described within the Proposal.
Any additional work requested by the Client shall constitute a Variation and shall be charged separately in accordance with Section 9.

8.3 Hourly Rates
Where work is undertaken on a time charge basis, or where additional work falls outside the agreed scope, the following hourly rates shall apply unless otherwise agreed in writing.

8.4 Mileage
Mileage shall be charged where applicable at:

Mileage is calculated using the actual distance travelled.
Travel Time: Charged at £25 + vat / hr per operative charged in addition unless the quote states otherwise

8.5 Additional Expenses
Unless expressly included within the Quotation, the Client shall reimburse all reasonable expenses incurred in providing the Services.
These may include, but are not limited to:
• parking;
• congestion charges;
• Clean Air Zone charges;
• Ultra Low Emission Zone charges;
• tolls;
• ferries;
• accommodation;
• courier charges;
• specialist equipment hire;
• access equipment;
• statutory information;
• Ordnance Survey data;
• Land Registry documents;
• utility records;
• printing;
• binding;
• postage.
Administrative charge of 20% will be applied where appropriate.

8.6 Invoicing
Unless otherwise agreed, invoices shall be issued:
• upon completion of the Services;
• at agreed milestones;
• monthly for ongoing commissions;
• immediately upon termination of the Contract.
Archidata reserves the right to issue interim invoices where substantial work has been completed.
________________________________________
8.7 Payment Terms
Payment is due immediately upon receipt of the invoice.
Archidata allows seven (7) calendar days from the invoice date for administrative processing only.
This shall not constitute the granting of a credit facility.
________________________________________
8.8 Late Payment
Where payment has not been received by the due date, Archidata reserves the right to charge interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998 or, at Archidata’s election, at a rate of 8% above the Bank of England Base Rate, calculated on a daily basis until payment is received in full.
Archidata also reserves the right to recover all statutory compensation and reasonable debt recovery costs permitted by law.

8.9 Suspension of Services
Where payment remains outstanding, Archidata may, without prejudice to any other rights:
• suspend the Services;
• withhold Deliverables;
• postpone future site visits;
• refuse further instructions;
• suspend the Client’s licence to use Deliverables under Section 7.
No liability shall arise from any delay caused by such suspension.

8.10 Release of Digital Files
Unless otherwise agreed within the Proposal:
• PDF drawings shall normally be issued as the primary contractual Deliverable.
• Editable files including DWG, DXF, Revit, Archicad, IFC, point clouds and other native digital files shall normally be released only after all outstanding invoices relating to the commission have been paid in full.
Archidata reserves the right to issue preliminary, watermarked or protected copies pending payment.

8.11 Pay When Paid
The Client’s obligation to pay Archidata is entirely independent of any payment arrangements between the Client and any third party.
Accordingly, “pay when paid”, “pay if paid”, or similar contractual arrangements shall not apply unless expressly agreed in writing by a Director of Archidata.
________________________________________
8.12 Variations
Where the Client instructs additional work after acceptance of the Proposal, Archidata shall be entitled to charge for such work in accordance with the standard hourly rates (see 8.3) or such other fee as may be agreed.
Where reasonably practicable, Archidata shall notify the Client before commencing additional chargeable work.
________________________________________
8.13 Aborted Visits
Where attendance at Site is prevented through no fault of Archidata, including but not limited to:
• lack of access;
• unavailable keys;
• tenant refusal;
• unsafe conditions;
• undisclosed hazards;
• adverse weather;
• cancellation on arrival;
Archidata reserves the right to charge for:
• time spent;
• travel time;
• mileage;
• accommodation;
• equipment mobilisation;
• any other costs reasonably incurred.

Abortive visits have a minimum charge of £400 + disbursements + vat

8.14 Cancellation Charges
Where the Client cancels the Services:

8.15 Client Delays
Where the Client causes delay to the progress of the Services, Archidata shall be entitled to recover all additional costs reasonably incurred, including:
• additional survey time;
• additional CAD work;
• return visits;
• travel;
• administration;
• reprogramming of resources.
________________________________________
8.16 Retention
No retention shall be deducted from any payment due to Archidata unless expressly agreed in writing.
________________________________________
8.17 Set-Off
The Client shall pay all sums due in full without deduction, withholding, counterclaim or set-off unless required by law.
________________________________________
8.18 Payment Methods
Payment may be made by:
• BACS transfer;
• Faster Payments;
• CHAPS;
• debit card;
• credit card via Archidata’s approved payment provider.
Payment shall be deemed received only when cleared funds have reached Archidata’s nominated bank account, not upon Stripe / Credit Card Payment.
Costs for credit card payments via our “Stripe” card facility are passed on to the client.
These costs can be avoided by paying via BACS / Bank Transfer.

8.19 Ownership of Deliverables Pending Payment
Until all invoices relating to the commission have been paid in full:
• the Client’s licence under Section 7 shall remain conditional;
• Archidata reserves the right to withhold editable Deliverables;
• Archidata may suspend further Services.
Nothing in this clause shall affect the Client’s statutory rights.
________________________________________
8.20 Disputed Invoices
If the Client disputes any invoice, written notice shall be provided within seven (7) days of receipt, clearly identifying the disputed amount and the reasons for the dispute.
The undisputed balance shall remain payable in accordance with these Terms.
Failure to notify a dispute within this period shall not prevent a genuine claim later, but shall not delay payment of undisputed sums.

8.21 Payment Recovery Procedure
Archidata prides itself on maintaining fair and transparent payment terms. Our fees are calculated on the basis that invoices are settled promptly and are not intended to provide the Client with an interest-free credit facility.
Invoices are payable immediately upon presentation of the completed Deliverables and the accompanying invoice. Whilst Archidata allows seven (7) calendar days for the Client’s internal administration and payment processing, this concession shall not be interpreted as the granting of a credit account or any form of finance.
Clients requiring extended payment terms or finance should make their own arrangements with their bank or other financial provider prior to instructing Archidata.
________________________________________
8.22 Issue of Deliverables
Upon completion of the Services, Archidata will normally issue the agreed Deliverables together with its invoice.
Where Archidata considers it appropriate, particularly where the Client is new to the business or where there are reasonable concerns regarding payment, Deliverables may initially be supplied in a protected format.
This may include:
• copy-protected PDF files;
• non-printable PDF files;
• watermarked drawings; or
• other restricted electronic formats.
These files are supplied solely to demonstrate that the commissioned work has been completed and to enable the Client to review the Deliverables pending settlement of the invoice.
Upon receipt of cleared funds, Archidata shall promptly release the unrestricted Deliverables included within the commission.

8.23 Reminder Statements
If payment has not been received, Archidata will normally issue a series of reminder statements.
These statements will be issued periodically at Archidata’s discretion but will normally be sent at intervals of not less than seven (7) days.
The issue of reminder statements shall not affect any other rights available to Archidata.
________________________________________
8.24 Debt Recovery
If payment remains outstanding after the third reminder statement has been issued, the outstanding balance shall automatically be referred to Archidata’s appointed debt recovery agents or legal representatives for formal recovery action.
No further notice or warning shall be required before such referral takes place.
________________________________________
8.25 Recovery Costs
Upon referral for debt recovery, the Client shall become liable, to the fullest extent permitted by law, for all additional costs incurred by Archidata in recovering the outstanding debt.
These costs may include, but are not limited to:
• debt recovery agency fees;
• Letter Before Action charges;
• solicitor’s fees;
• court fees;
• enforcement costs;
• tracing agent fees;
• administrative costs;
• statutory compensation;
• statutory interest; and
• any other reasonable costs incurred in recovering the debt.
Any such costs recoverable by law may be added to the outstanding account and shall become immediately payable by the Client.

8.26 Statutory Interest
Archidata reserves the right to claim interest, statutory compensation and debt recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, as amended from time to time.
Interest shall accrue from the date the payment became overdue until the date that cleared funds are received in full.
________________________________________
8.27 Suspension of Licence
Until all outstanding sums have been paid in full, any licence granted to the Client under Section 7 shall remain suspended.
The Client shall not make use of any protected, preliminary or restricted Deliverables for construction, planning, manufacture, commercial purposes or any other purpose until payment has been received in full.
________________________________________
8.28 Right to Refuse Future Instructions
Archidata values long-term relationships with its Clients and seeks to provide a professional, efficient and fair service at all times.
However, where a Client’s account has previously been referred to debt recovery proceedings, or where there has been a history of persistent late payment or failure to comply with the payment terms set out within these Terms and Conditions, Archidata reserves the right, at its sole discretion, to:
• decline any future instruction from that Client;
• require payment in full before commencing any further Services;
• require staged or interim payments;
• require payment by cleared funds prior to the release of any Deliverables; or
• impose such other payment arrangements as Archidata considers appropriate.
Nothing in this clause shall oblige Archidata to accept any future instruction from a Client, and Archidata reserves the right to refuse to enter into any further contract without providing a reason.

8.29 Retention of Title to Deliverables
Until all sums due under the Contract have been paid in full:
• all Deliverables remain the intellectual property of Archidata;
• any licence granted to the Client under Section 7 shall remain conditional;
• Archidata reserves the right to withhold, suspend or withdraw access to editable electronic Deliverables;
• the Client shall not permit any third party to make use of restricted Deliverables for construction, manufacture, planning submissions or any commercial purpose.
For the avoidance of doubt, settlement of the outstanding invoice shall immediately reinstate the Client’s licence to use the Deliverables in accordance with Section 7.

9. VARIATIONS TO THE SERVICES
________________________________________
9.1 General
The Services and Deliverables included within Archidata’s fee are limited to those expressly described within the Proposal or Quotation.
Any instruction, request or circumstance that changes, extends or materially affects the agreed scope shall constitute a Variation.
________________________________________
9.2 Client Variations
Variations may include, but are not limited to:
• additional floor plans;
• additional elevations;
• additional building sections;
• roof plans not originally instructed;
• reflected ceiling plans;
• topographical survey extensions;
• additional site visits;
• return visits;
• revised survey extents;
• additional scan positions;
• extra monitoring visits;
• additional reports;
• additional BIM outputs;
• higher Levels of Detail (LOD);
• additional coordinate systems;
• additional control stations;
• revised drawing standards;
• additional file formats;
• accelerated delivery programmes;
• additional meetings;
• attendance at design team meetings;
• attendance at planning meetings;
• attendance at site meetings;
• witness statements;
• expert evidence.

9.3 Instructions
Variations may be instructed by:
• the Client;
• the Client’s appointed representative;
• the Architect;
• the Engineer;
• the Project Manager;
or any individual whom Archidata reasonably believes has authority to issue instructions on behalf of the Client.
________________________________________
9.4 Confirmation
Where reasonably practicable, Archidata shall confirm the likely additional fee before commencing a Variation.
Where immediate action is required to avoid delay to the Project, Archidata may proceed and agree the fee afterwards.
________________________________________
9.5 Additional Fees
Variations shall be charged:
• at the agreed hourly rates (see 8.3);
• in accordance with an agreed lump sum; or
• in accordance with a revised quotation.
Unless otherwise agreed, Archidata’s published hourly rates shall apply.
________________________________________
9.6 Additional Site Attendance
Where additional Site attendance becomes necessary due to:
• revised Client instructions;
• additional information becoming available;
• incomplete access during the original survey;
• design changes;
• contractor requests;
• planning authority requirements;
• Building Control requirements;
• structural engineer requests;
additional charges shall apply.

9.7 Return Visits
Return visits requested after completion of the original survey shall be chargeable.
This includes visits required because:
• rooms were inaccessible;
• vegetation had not been cleared;
• neighbouring access had not been obtained;
• additional information has subsequently been requested;
• areas were omitted at the Client’s request;
• further measurements are required.

9.8 Client Delays
Where the Client delays the progress of the Services by:
• failing to provide information;
• changing the scope;
• changing the survey dates;
• delaying approvals;
• delaying access;
Archidata shall be entitled to recover all reasonable additional costs arising from such delay.
________________________________________
9.9 Additional Deliverables
Where additional Deliverables are requested after completion of the commission, including:
• additional PDFs;
• revised CAD drawings;
• BIM models;
• CSV / XYZ Files;
• AutoCAD 3D file exports;
• additional exports;
• alternative formats;
• additional reports;
• planning packs;
these shall be charged separately unless included within the original Proposal.

9.10 Change of Standards
Where the Client requests Deliverables to comply with standards or protocols not identified within the original Proposal, including:
• BIM Execution Plans (BEPs);
• Employer’s Information Requirements (EIRs);
• ISO 19650;
• Uniclass classifications;
• COBie outputs;
• client CAD standards;
Archidata reserves the right to revise its fee accordingly.

9.11 Programme Changes
If the Client requires Archidata to:
• accelerate delivery;
• work evenings;
• work weekends;
• work public holidays;
• increase resources;
• provide out-of-hours attendance;
additional charges may apply.
Acceptance of accelerated programmes remains entirely at Archidata’s discretion.
________________________________________
9.12 Third-Party Requirements
Where additional work is required solely because of requests from:
• Planning Authorities;
• Building Control;
• Historic England;
• utility companies;
• structural engineers;
• architects;
• principal designers;
• principal contractors;
such work shall constitute a Variation unless already included within the Proposal.
________________________________________
9.13 Scope Creep
Where a series of minor changes collectively results in a material increase in the Services, Archidata reserves the right to treat those changes as a Variation even if each individual change appears insignificant.
________________________________________
9.14 Suspension of Services
If the Services are suspended at the Client’s request for more than 30 consecutive days, Archidata reserves the right to:
• invoice all work completed to date;
• revise the remaining programme;
• revise the remaining fee to reflect increased costs;
• recover reasonable remobilisation costs upon recommencement.
________________________________________
9.15 Recommencement
Where a suspended Project recommences after a prolonged period, Archidata reserves the right to:
• review previously completed work;
• verify existing survey information;
• undertake further site attendance where necessary;
• revise the Proposal if project requirements have changed.
________________________________________
9.16 Unforeseen Circumstances
Where previously unknown Site conditions materially affect the Services, including:
• hidden structures;
• unexpected levels;
• inaccessible areas;
• contamination;
• flooding;
• structural instability;
• archaeological remains;
• previously unknown buildings;
Archidata shall notify the Client as soon as reasonably practicable and any additional work required shall constitute a Variation.

9.17 Agreement of Variations
The Client shall not unreasonably withhold or delay agreement to a reasonable Variation necessary to complete the Services safely or professionally.
________________________________________
9.18 Minor Clarifications
Reasonable clarification of the Deliverables, correction of drafting errors or answering routine technical queries shall not normally constitute a Variation and shall be provided without additional charge where they fall within the original scope.
________________________________________
9.19 Professional Judgement
Nothing within this Section shall prevent Archidata from exercising reasonable professional judgement in determining the extent of work reasonably necessary to fulfil the original commission.
________________________________________
10. LIMITATION OF LIABILITY
________________________________________
10.1 Professional Duty
Archidata shall exercise the reasonable skill, care and diligence expected of a competent professional surveying practice experienced in undertaking similar commissions.
No warranty or guarantee is given that the Services will be free from error, nor that every feature, condition or circumstance will be identified.
________________________________________
10.2 Reasonable Reliance
The Client acknowledges that professional surveys involve the exercise of professional judgement based upon information available at the time of survey.
No survey should be interpreted as guaranteeing the absence of defects, discrepancies, movement, hidden construction or other matters that could not reasonably have been identified during the course of the Services.
________________________________________
10.3 Rectification
Where Archidata becomes aware of a material error within its Deliverables arising directly from its own negligence, Archidata shall, at its own expense, correct the relevant Deliverables or, where appropriate, re-attend the Site to obtain additional information.
Except where prohibited by law, this shall be the Client’s primary remedy before any claim for damages is pursued.

10.4 Matters That Cannot Be Excluded
Nothing within these Terms shall exclude or limit Archidata’s liability for:
• death or personal injury arising from negligence;
• fraud or fraudulent misrepresentation;
• any liability which cannot lawfully be excluded under English law.
________________________________________
10.5 Excluded Losses
To the fullest extent permitted by law, Archidata shall not be liable for:
• loss of profit;
• loss of revenue;
• loss of opportunity;
• loss of anticipated savings;
• loss of production;
• loss of contracts;
• loss of business;
• loss of goodwill;
• loss of reputation;
• financing costs;
• loss of data;
• business interruption;
• consequential loss;
• indirect loss.

10.6 Third-Party Information
Archidata shall not be liable for any error arising from information supplied by others including:
• Ordnance Survey;
• utility providers;
• Local Authorities;
• architects;
• engineers;
• planning consultants;
• previous surveyors;
• statutory undertakers;
• the Client.
Archidata is entitled to rely upon information supplied by others unless it is obviously incorrect.

10.7 Hidden Defects
Archidata accepts no responsibility for:
• concealed defects;
• hidden construction;
• underground obstructions;
• concealed drainage;
• buried services;
• structural deficiencies;
• contamination;
• asbestos;
• toxic mould;
• unexploded ordnance;
• hazardous materials;
unless expressly included within the agreed scope.

10.8 Construction Decisions
The Client shall remain responsible for all decisions concerning:
• design;
• construction;
• procurement;
• structural adequacy;
• Building Regulations compliance;
• planning compliance;
• health and safety.
Archidata provides survey information only unless expressly instructed otherwise.
________________________________________
10.9 Reliance by Third Parties
No third party shall acquire any right to rely upon the Deliverables unless Archidata has entered into a separate written agreement expressly extending such reliance.
The Client shall indemnify Archidata against any claim arising from unauthorised third-party reliance.
________________________________________
10.10 Aggregate Liability
Subject always to Clause 10.4, Archidata’s total aggregate liability arising out of or in connection with the Contract, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed:
the lower of:
a) £500,000, or
b) ten (10) times the total professional fees paid to Archidata under the relevant commission.
This limitation applies to the aggregate of all claims arising from the commission and not to each individual claim.

10.11 Net Contribution
Where responsibility for any loss is shared between Archidata and one or more other consultants, contractors, specialists or third parties, Archidata shall be liable only for the proportion of the loss that is fair and reasonable having regard to its own responsibility.
Archidata shall not be responsible for any greater proportion merely because another party is insolvent, uninsured or otherwise unable to satisfy a claim.

10.12 Professional Indemnity Insurance
Archidata shall maintain Professional Indemnity Insurance appropriate to the nature of its business.
Nothing within these Terms shall oblige Archidata to maintain Professional Indemnity Insurance beyond that which is commercially available on reasonable terms.

10.13 Time Limit for Claims
No claim shall be brought against Archidata unless:
• written notice has been provided as soon as reasonably practicable after the matter becomes known; and
• legal proceedings are commenced within six (6) years of practical completion of the Services.
Where the Contract is executed as a deed, the statutory limitation period shall apply unless otherwise agreed.

10.14 Duty to Mitigate
The Client shall take all reasonable steps to mitigate any loss arising from any alleged breach by Archidata.
Archidata shall not be liable for losses that could reasonably have been avoided.

10.15 Modifications by Others
Archidata accepts no responsibility for Deliverables that have been:
• amended;
• redrawn;
• converted;
• edited;
• combined with other information;
• used after alteration by others.
________________________________________
10.16 Future Changes
Archidata shall not be liable for inaccuracies arising from alterations to the Site occurring after completion of the survey.
Where the Site has been altered, extended, demolished or otherwise changed, the Deliverables should not be relied upon without further survey.

10.17 Digital Information
Archidata accepts no liability arising from:
• software incompatibility;
• file corruption after issue;
• hardware failure;
• cyber attack affecting the Client;
• unauthorised modification of electronic Deliverables.
________________________________________
10.18 Client’s Responsibility to Review
The Client shall review the Deliverables promptly upon receipt and notify Archidata of any apparent discrepancy or omission.
Archidata shall be given a reasonable opportunity to investigate and rectify any genuine error before the Client incurs third-party costs.
________________________________________
10.19 Assignment
The Client shall not assign the benefit of the Contract to another party without Archidata’s prior written consent.
________________________________________
10.20 Contracts (Rights of Third Parties) Act 1999
Nothing within the Contract shall confer any benefit upon any person who is not a party to the Contract.
No third party shall have any right to enforce any provision of these Terms pursuant to the Contracts (Rights of Third Parties) Act 1999.

10.21 Survival
The provisions of this Section shall continue in force after completion or termination of the Contract.
________________________________________
10.22 Reasonableness
The Client acknowledges that the limitations and exclusions contained within this Section are fair and reasonable, having regard to:
• the nature of the Services;
• the level of fees charged;
• the availability of Professional Indemnity Insurance;
• the allocation of commercial risk between the parties.

11. PROFESSIONAL STANDARDS & QUALITY ASSURANCE

11.1 Professional Standards
Archidata shall perform the Services using the reasonable skill, care and diligence expected of a competent professional surveying practice experienced in carrying out similar commissions.
All Services shall be undertaken in accordance with recognised industry practice applicable at the time of the commission.
________________________________________
11.2 Competence
Archidata shall ensure that all survey work is undertaken or appropriately supervised by suitably trained, experienced and competent personnel.
Where specialist services are required, Archidata reserves the right to appoint suitably qualified subcontractors or specialist consultants.
________________________________________
11.3 Survey Equipment
Archidata shall use professional survey equipment appropriate to the Services being provided.
Survey instruments shall be maintained, calibrated and checked in accordance with the manufacturer’s recommendations and Archidata’s internal quality procedures.
________________________________________
11.4 Survey Control
Where appropriate to the commission, survey control shall be established using recognised surveying techniques.
The survey methodology adopted shall be determined by Archidata based upon:
• required accuracy;
• site conditions;
• project requirements;
• health and safety considerations.
________________________________________
11.5 Quality Assurance
Archidata operates internal quality assurance procedures designed to minimise errors before Deliverables are issued.
These procedures may include:
• independent drawing checks;
• survey data validation;
• point cloud registration verification;
• dimensional spot checks;
• coordinate verification;
• drawing reviews.
The extent of quality assurance undertaken shall be proportionate to the scope and value of the commission.

11.6 Professional Judgement
The Client acknowledges that surveying is a professional discipline requiring the exercise of professional judgement.
Different competent surveyors may legitimately adopt different methodologies or interpretations whilst remaining within accepted professional standards.

11.7 Equipment Failure
In the unlikely event of equipment malfunction, data corruption or technical failure, Archidata reserves the right to revisit the Site where reasonably necessary to complete or verify the Services.
Where such failure arises solely from Archidata’s equipment, no additional charge shall be made to the Client.
________________________________________
11.8 Continuous Improvement
Archidata reserves the right to introduce improved survey methodologies, software, hardware and processing techniques where these are considered beneficial to the quality or efficiency of the Services.
Such improvements shall not reduce the standard of service described within the Proposal.
________________________________________
11.9 Standards of Accuracy
Survey accuracy shall be appropriate to the intended purpose of the commission and the methodology employed.
Absolute mathematical precision is neither achievable nor implied.
Where specific accuracy requirements are required, these shall be agreed in writing before commencement of the Services.
________________________________________
11.10 Compliance
Unless expressly stated otherwise within the Proposal, Deliverables shall be prepared in accordance with the standards and conventions normally adopted by Archidata at the date of issue.
Where compliance with a client’s CAD standards, BIM protocols or other technical standards is required, these shall be supplied to Archidata before commencement of the Services.
Failure to provide such information may result in additional charges or programme delays.

11.11 Health & Safety
Archidata is committed to maintaining high standards of health and safety.
No member of staff shall be required to undertake work that, in the reasonable opinion of Archidata, presents an unacceptable risk to people, equipment or property.
________________________________________
11.12 Environmental Responsibility
Where reasonably practicable, Archidata shall seek to minimise unnecessary environmental impact during the provision of the Services.
This may include the use of digital Deliverables in place of printed copies, efficient travel planning and the responsible disposal of waste materials.
________________________________________
11.13 Equality and Professional Conduct
Archidata is committed to conducting its business professionally, ethically and without unlawful discrimination.
The Client shall ensure that Archidata’s employees, subcontractors and representatives are treated with courtesy and respect whilst undertaking the Services.
Abusive, threatening or discriminatory behaviour may result in the immediate suspension or termination of the Services.

11.14 Modern Slavery
Archidata is committed to acting ethically and with integrity in all business relationships and seeks to ensure that modern slavery and human trafficking have no place within its business or supply chain.

11.15 Survival
The obligations contained within this Section shall continue for so long as Archidata provides the Services.

12. CONFIDENTIALITY & DATA PROTECTION
________________________________________
12.1 Confidential Information
Each party shall treat as confidential all technical, commercial and financial information obtained from the other party during the course of the Contract.
Such information shall not be disclosed to any third party except:
• where required by law;
• where required by a Court of competent jurisdiction;
• where necessary for the performance of the Services;
• with the prior written consent of the other party.

12.2 Use of Information
Confidential information shall be used solely for the purposes of fulfilling the Contract.
Neither party shall use confidential information for any unrelated commercial purpose without prior written consent.

12.3 Subconsultants
Archidata may disclose confidential information to its employees, subcontractors, consultants or professional advisers where reasonably necessary to provide the Services.
Archidata shall take reasonable steps to ensure that such persons maintain appropriate confidentiality.

12.4 Data Protection
Each party shall comply with all applicable UK data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
________________________________________
12.5 Personal Data
Archidata shall process personal data only where reasonably necessary to:
• prepare quotations;
• administer projects;
• provide the Services;
• issue invoices;
• comply with legal obligations;
• maintain appropriate business records.
________________________________________
12.6 Data Retention
Project information, including survey observations, drawings, correspondence and associated records, may be retained for a reasonable period to:
• satisfy legal obligations;
• defend potential claims;
• maintain professional records;
• provide future assistance to the Client.
Archidata’s current Privacy Policy provides further information regarding retention periods.

12.7 Marketing
Archidata shall not use the Client’s name, logo or branding in promotional material without prior permission.
Archidata may refer to completed projects in general terms provided that confidential information is not disclosed.

12.8 Cyber Security
Whilst Archidata maintains reasonable cyber security measures, no electronic communication system can be guaranteed completely secure.
Neither party shall be liable for losses arising solely from sophisticated cyber attacks beyond their reasonable control.
________________________________________
12.9 Survival
The confidentiality obligations contained within this Section shall continue after completion or termination of the Contract.
________________________________________

13. CANCELLATION & TERMINATION
________________________________________
13.1 Completion
The Contract shall normally terminate automatically upon:
• completion of the Services;
• payment of all outstanding fees;
• delivery of the agreed Deliverables.
________________________________________
13.2 Client Cancellation
The Client may cancel the Contract in accordance with Section 8.
Where cancellation occurs after work has commenced, the Client shall remain liable for:
• work completed;
• committed costs;
• third-party costs;
• reasonable administration costs.
________________________________________
13.3 Archidata Termination
Archidata may terminate the Contract immediately by written notice where:
• invoices remain unpaid;
• the Client commits a material breach;
• the Client becomes insolvent;
• the Site is considered unsafe;
• the Client behaves abusively towards Archidata personnel;
• the Client requests Archidata to act unlawfully or unethically.

13.4 Material Breach
Where either party commits a material breach capable of remedy, the other party shall provide written notice.
If the breach remains unremedied after fourteen (14) days, the Contract may be terminated.

13.5 Insolvency
Either party may terminate the Contract immediately if the other:
• enters liquidation;
• enters administration;
• ceases trading;
• becomes bankrupt;
• enters into any arrangement with creditors.

13.6 Consequences of Termination
Termination shall not affect:
• accrued rights;
• accrued liabilities;
• unpaid invoices;
• Intellectual Property Rights;
• confidentiality obligations;
• liability provisions.

13.7 Suspension
Instead of terminating the Contract, Archidata may suspend the Services until matters giving rise to the suspension have been resolved.

14. FORCE MAJEURE

14.1 Events Beyond Reasonable Control
Neither party shall be liable for failure or delay resulting from events beyond their reasonable control.
These include, but are not limited to:
• severe weather;
• flooding;
• fire;
• lightning;
• earthquake;
• epidemic;
• pandemic;
• war;
• terrorism;
• civil unrest;
• industrial action;
• utility failure;
• internet failure;
• cyber attack;
• Government restrictions;
• road closures;
• rail disruption.

14.2 Notification
The affected party shall notify the other party as soon as reasonably practicable.
________________________________________
14.3 Extension of Time
Where a Force Majeure event delays performance, Archidata shall be entitled to a reasonable extension of time.

14.4 Prolonged Force Majeure
Where a Force Majeure event continues for more than thirty (30) consecutive days, either party may terminate the Contract by written notice.
________________________________________

15. GENERAL PROVISIONS

15.1 Entire Agreement
These Terms, together with the Proposal and Quotation, constitute the entire agreement between the parties.
All previous discussions, correspondence and representations are superseded.

15.2 Variations
No amendment to the Contract shall be effective unless confirmed in writing by both parties.
________________________________________
15.3 Waiver
Failure by either party to enforce any provision shall not constitute a waiver of that provision.
________________________________________
15.4 Severability
Should any provision of these Terms be found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
________________________________________
15.5 Assignment
The Client shall not assign or transfer the Contract without Archidata’s written consent.
Archidata may appoint subcontractors where appropriate but shall remain responsible for the Services provided by them.

15.6 Notices
Formal notices under the Contract shall be given:
• by email;
• by recorded delivery;
• by hand delivery.
Notice shall be deemed received on the next Working Day following transmission unless evidence demonstrates otherwise.

15.7 Third Party Rights
Nothing within the Contract shall confer any benefit upon any third party under the Contracts (Rights of Third Parties) Act 1999.

15.8 Continuing Obligations

shall survive completion or termination of the Contract.

16. GOVERNING LAW

The Contract shall be governed by and construed in accordance with the laws of England and Wales.

The Courts of England and Wales shall have exclusive jurisdiction to determine any dispute arising out of or in connection with the Contract.

16.3 Alternative Dispute Resolution
Before commencing legal proceedings, the parties shall use reasonable endeavours to resolve any dispute through good faith negotiation.
Where appropriate, the parties may agree to mediation before litigation.

Where instructed, Archidata shall undertake three-dimensional laser scanning to record the visible surfaces of buildings, structures, engineering works or land.
Laser scanning is a method of rapidly capturing millions of individual survey observations (known as a point cloud) to create an accurate digital representation of the visible environment.
________________________________________
C2 Survey Methodology
Archidata may undertake laser scanning using terrestrial laser scanners, handheld SLAM systems, mobile mapping systems or other suitable technologies.
The survey methodology shall be selected by Archidata according to:
• project requirements;
• required accuracy;
• site conditions;
• accessibility;
• health and safety considerations.

C3 Registration
Individual scan positions shall normally be registered into a common coordinate system.
Registration quality shall be assessed using appropriate quality assurance procedures.
Minor residual registration errors are inherent within all point cloud processing and do not indicate negligence.

Laser scanners record only surfaces that are directly visible to the scanner.

Building height surveys determine the height of buildings using recognised surveying techniques for purposes including:

• fire safety;

Storey assessments identify the number of storeys within a building in accordance with the applicable legislation and guidance.

D2 Basis of Assessment
Unless otherwise agreed, assessments shall be prepared using:
• information observed during the survey;
• current legislation;
• Government guidance;
• Approved Documents;
• relevant industry guidance available at the date of issue.

D3 Professional Interpretation
The Client acknowledges that certain aspects of building height assessment involve professional interpretation.
In particular, determining:
• the lowest adjacent ground level;
• the highest occupied storey;
• the definition of a storey;
• split-level arrangements;
• mezzanines;
• rooftop plant;
• roof terraces;
may require the application of professional judgement.

D4 Legislative Changes
Changes to legislation, Approved Documents, Government guidance or judicial interpretation after the date of issue may affect the conclusions reached.
Archidata accepts no responsibility for changes occurring after the report has been issued.

D5 Reliance
Building height assessments are prepared solely for the purposes identified within the Proposal.
Where Building Control, the Fire Authority or another statutory body reaches a different interpretation, Archidata shall not be liable solely because an alternative professional opinion has been adopted.

STRUCTURAL MONITORING & DEFORMATION SURVEYS

E1 Scope
Monitoring surveys compare observations obtained over time to identify movement or deformation.

E2 Baseline Survey
Unless otherwise stated, the first survey shall establish the baseline against which future observations are compared.

E3 Interpretation
Monitoring identifies movement only.
It does not determine:
• structural adequacy;
• cause of movement;
• remedial measures.
Interpretation remains the responsibility of the appointed engineer unless included within the Proposal.

E4 Environmental Effects
Measurements may be influenced by:
• temperature;
• solar heating;
• wind;
• humidity;
• seasonal movement;
• construction activities.
These influences shall be considered when interpreting monitoring results.

E5 Frequency
Monitoring intervals shall be agreed with the Client.
Archidata accepts no responsibility where monitoring intervals are extended, reduced or discontinued contrary to professional advice.

APPENDIX F
PAS128 UTILITY SURVEYS

F1 Scope
Where commissioned, utility surveys shall be undertaken generally in accordance with PAS 128 or its successor standard, subject to the agreed survey classification.

F2 Limitations
No utility survey can guarantee the identification of every buried service.
Factors affecting detection include:
• service material;
• burial depth;
• ground conditions;
• congestion;
• electromagnetic interference;
• incomplete statutory records.

F3 Verification
Unless trial holes are specifically included within the commission, utility positions remain interpreted survey information.
The Client shall verify critical services before excavation.

APPENDIX G
BUILDING INFORMATION MODELLING (BIM)

G1 Scope
BIM models shall be produced only where identified within the Proposal.

G2 Level of Detail
Models shall be produced to the agreed Level of Detail (LOD) or Level of Information Need only.
No higher level shall be implied.

G3 Purpose
BIM models are intended to assist design coordination.
They are not fabrication models unless expressly stated.

G4 Software
Models shall normally be produced using software selected by Archidata unless otherwise agreed.

G5 Future Modifications
Archidata accepts no responsibility for changes made to BIM models by others following issue.

H1 Existing Buildings
Existing buildings are unique.
Irregularities should be expected.

H2 Survey Tolerances
No survey should be regarded as mathematically perfect.
Professional surveying involves both measurement and interpretation.

H3 Verification Before Construction
Critical dimensions should always be independently verified on Site before:
• manufacture;
• prefabrication;
• structural steel fabrication;
• specialist joinery;
• curtain walling;
• modular construction.

H4 Photography
Archidata may take photographs, 360° imagery and video recordings during the survey.
These images form part of the survey record and may be used for quality assurance, drawing production and project administration.
Unless otherwise agreed, copyright in such imagery remains vested in Archidata.

H5 Artificial Intelligence
Archidata may use software incorporating artificial intelligence or automated processing to assist with data management, point cloud processing, feature recognition or drafting workflows.
All professional conclusions, interpretations, reports and Deliverables remain subject to review by competent personnel before issue.
The use of such software does not diminish Archidata’s professional responsibility for the Services.

H6 Continuous Improvement
Archidata reserves the right to improve its working methods, equipment and software at any time, provided that such improvements do not materially reduce the quality of the Services contracted.
